Business Partnership Agreement

Diaspora Journeys Travel is rooted in the businesses that anchor our communities — the restaurants, grocers, salons, barber shops, and storefronts where neighbors gather every day. This Agreement invites a local business to become a Community Business Partner: by displaying and promoting Diaspora Journeys Travel at its place of business, the Business shares in the revenue it helps generate, earning fifty percent (50%) of the Agency’s net commission on the travel it refers. It is a clear, professional, and mutually rewarding arrangement — grounded in the values both parties share and the Happiest Honor to Serve.
1. The Parties
This Business Partnership Agreement (the “Agreement”) is entered into as of the Effective Date stated below, by and between Diaspora Journeys Travel LLC, a Minnesota limited liability company and independent travel agency (the “Agency”), and the commercial establishment identified below (the “Business”). The Agency and the Business are each a “Party” and together the “Parties.”
2. The Partnership
This is a voluntary, non-exclusive display and referral partnership. The Business agrees to display and promote the Agency’s materials at its place of business, and in consideration the Agency agrees to pay the Business fifty percent (50%) of the net commission the Agency actually earns on qualifying travel referred through the Business. There is no fee to participate, no purchase requirement, and no exclusivity. The Business may participate as actively as it wishes and may conclude the partnership at any time on the terms set forth below.
3. The Business’s Role: Display and Promotion
During the term, the Business will:
- Display the Agency’s materials — window signage, counter displays, brochures, referral cards, and the Business’s unique referral code or QR code — in a visible, customer-facing location.
- Maintain the display in good condition and reasonable visibility throughout the term.
- Share the materials and referral code with interested customers and patrons.
- Promote the Agency truthfully, using only Agency-approved materials and messaging, and in compliance with applicable advertising and consumer-protection laws.
The Business will not quote prices or fares, describe specific itineraries, make travel or safety guarantees, collect payment for travel, or otherwise hold itself out as a seller of travel (see Section 7).
4. Referral Compensation (50%)
(a) Nature of the compensation. The compensation is paid entirely from the Agency’s own earned commission. It is earned referral compensation and does not increase the price paid by any customer; travelers pay standard published rates.
(b) Qualifying Referrals. A “Qualifying Referral” means travel booked with the Agency by a customer who uses the Business’s unique referral code, link, QR code, or materials, or whose booking is otherwise reasonably attributable to the Business.
(c) Net commission. Compensation is calculated on the Agency’s net commission actually received from suppliers after travel is completed and after deducting any refunds, cancellations, chargebacks, or supplier reductions. No compensation is owed on bookings that are canceled, refunded, or that do not result in commission paid to the Agency.
(d) Payment and statement. The Agency will remit compensation to the Business on the schedule selected below, accompanied by an itemized statement of the Qualifying Referrals and amounts for the period.
(e) Taxes. Referral compensation is taxable business income to the Business. The Business is solely responsible for its own taxes and will provide a completed IRS Form W-9; the Agency will issue IRS Form 1099 where required by law. Each Party is responsible for its own tax obligations and is encouraged to consult its own advisor.
5. Referral Tracking, Schedule, and Payment
The Agency will assign the Business a unique referral code, link, and/or QR code so that referrals are accurately attributed.
6. Marketing Materials and Brand Use
All promotional materials, signage, and marks are provided by the Agency and remain the Agency’s property. The Business will display them as provided and will not alter them or create its own Agency-branded materials without the Agency’s prior written approval. Neither Party may use the other’s name, logo, or marks beyond what this partnership reasonably requires without prior written permission. The Agency may recognize the Business as a Community Business Partner in its own marketing, with the Business’s consent.
7. The Business Is Not a Seller of Travel
The Business participates solely as a referral source and host of the Agency’s display materials. The Business does not sell travel, act as a travel agent, quote or collect fares, advise customers on travel, or guarantee any travel service. All travel is arranged, sold, and fulfilled directly by the Agency. The Business assumes no liability for travel services and undertakes no seller-of-travel registration, bonding, or licensing obligation by reason of this Agreement.
8. Independent Relationship
The Parties are independent contractors. Nothing in this Agreement creates an employment relationship, agency, partnership in the legal sense, joint venture, or franchise, and neither Party has authority to bind the other.
9. Term, Renewal, and Termination
This Agreement begins on the Effective Date and continues for one (1) year, renewing by mutual agreement. Either Party may terminate at any time, with or without cause, upon thirty (30) days’ written notice. Termination does not affect the Agency’s obligation to pay compensation already earned on completed travel before the termination date. Upon termination, the Business will return or discontinue display of the Agency’s materials.
10. Limitation of Liability
Travel suppliers (airlines, hotels, tour operators, and others) are independent third parties responsible for their own services. The Agency is not liable for supplier acts, omissions, delays, or failures, or for events beyond its reasonable control. Neither Party is liable to the other for indirect or consequential losses arising from this Agreement.
11. Governing Law
This Agreement is governed by the laws of the State of Minnesota. The Parties will first endeavor to resolve any disagreement in good faith and in the spirit of partnership.
12. Entire Agreement
This Agreement constitutes the entire agreement between the Parties on its subject and supersedes any prior discussions. It may be amended only by a writing signed by both Parties. If any provision is held unenforceable, the remaining provisions remain in full effect.
13. Signatures
By signing below, each representative confirms that they are authorized to enter into this Agreement and undertake this partnership in good faith. Typing a full legal name below is an electronic signature with the same legal effect as a handwritten one.
The Agency will counter-sign upon receipt of your submitted Agreement.
