Faith Community Partnership Agreement

A Travel Give-Back Partnership in the Spirit of Service

This Faith Community Partnership Agreement (the “Agreement”) is entered into, in a spirit of mutual respect and freedom, as of the Effective Date below, by and between Diaspora Journeys Travel LLC, a Minnesota limited liability company with its principal place of business in Saint Paul, Minnesota (the “Agency”), and the religious or faith-based organization identified below (the “Organization”). The Agency and the Organization are each a “Party” and together the “Parties.”

Recitals. The Agency is a community-focused travel agency that serves Myanmar, Karen, and other diaspora communities across the United States in the spirit of its founding philosophy, “Happiest Honor to Serve You.” The Agency holds in deep respect the faith, traditions, and spiritual life of the religious and faith-based organizations that anchor these communities — including churches, temples, monasteries, and other houses of worship. The Organization gathers, guides, and uplifts its community in faith and service. The Parties wish to walk together in a voluntary, non-exclusive partnership in which travel arranged through the Agency becomes a quiet blessing to the Organization’s mission: for every qualifying booking, the Agency will return half of what it earns as a donation in support of the Organization’s spiritual, charitable, and community work.

1. Purpose and Spirit of the Partnership

The purpose of this partnership is to serve the Organization and its community with dignity, care, and excellence in travel, while channeling a meaningful share of the Agency’s earnings back into the Organization’s mission. This Agreement is offered as an act of honor and gratitude, not as a commercial obligation upon the Organization or its members. It is entered freely and may be walked away from freely.

2. A Partnership in Freedom (Non-Exclusive)

This is a voluntary, non-exclusive partnership. Nothing in this Agreement requires the Organization, its leaders, or its members to use the Agency for any booking, to promote the Agency, or to refrain from working with any other travel provider. The Organization remains entirely free to work with other agencies, suppliers, or partners at any time, for any reason or no reason. The Agency likewise remains free to serve other communities. Participation by any member is always a personal, voluntary choice, and no one is ever required to travel or to book through the Agency. This partnership creates no quota, no minimum, and no penalty.

3. Scope of Travel Services

When the Organization or its members choose to do so, the Agency is honored to arrange travel of every kind, including:

  • Group hotel room blocks reserved in advance for conferences, gatherings, retreats, and special events.
  • Individual bookings by members, leaders, families, and guests of the Organization.
  • Group travel and community trips, including conferences and fellowship gatherings.
  • Mission trips, pilgrimages, and faith-based group journeys.
  • Every related travel service — hotels, tours, airfare and airline tickets, ground transfers, cruises, travel insurance, and any other service used by or for the Organization or its community.

4. Community Give-Back Donation (50%)

For every Qualifying Booking, the Agency donates fifty percent (50%) of the net travel commission it actually earns — given freely to the Organization’s designated fund or entity, at no added cost to any traveler.

(a) Source of the donation. The donation is paid entirely from the Agency’s own earned commission. It is a voluntary give-back and does not increase the price paid by the Organization, its leaders, or any traveler; travelers pay standard published rates.

(b) Qualifying Bookings. “Qualifying Bookings” means any travel arranged through the Agency for or in connection with the Organization, including all of the services described in Section 3 — group room blocks reserved in advance, individual member bookings, group travel, mission trips and pilgrimages, and every related hotel, tour, airline, or other service used by or for the Organization or its community.

(c) Net commission. The donation is calculated on the Agency’s net commission actually received from suppliers after travel is completed and after deducting any refunds, cancellations, chargebacks, or supplier reductions. No donation is owed on bookings that are canceled, refunded, or that do not result in commission paid to the Agency.

(d) Payment and reporting. The Agency will remit donations to the Designated Recipient (Section 5) on the schedule selected below, together with a simple statement listing the Qualifying Bookings and donation amounts for the period, so the Organization always sees the fruit of the partnership.

(e) Tax matters. Each Party is responsible for its own tax treatment of the donations. The Agency makes no representation regarding deductibility and will provide records sufficient to document amounts given; the Organization is encouraged to consult its own advisor.

5. Designated Donation Recipient

The Organization designates the following entity or fund to receive the give-back donation, and may change this designation at any time by written notice.

6. Roles and Responsibilities

The Agency will provide professional, caring travel planning and booking services, communicate clearly, honor the Organization’s preferences, and calculate and remit the donation in good faith. The Organization may, if and as it wishes, share travel opportunities and the Agency’s contact information with its community — entirely at its own discretion. Members and leaders book directly with the Agency; the Organization is never asked to handle payments, quote prices, or take on any travel-seller responsibility.

7. Collective Leadership and Authorized Representatives

The Agency recognizes and honors that the Organization may be led and governed by multiple leaders — pastors, priests, monks, imams, elders, deacons, a board, council, or committee. Any leader duly authorized by the Organization may act on its behalf under this Agreement, and the Organization may designate more than one authorized representative. This Agreement is made with the Organization as a body; no individual leader is personally bound or personally liable. The Organization may add, remove, or update its authorized representatives at any time by written notice, with no need to amend this Agreement.

8. Faith, Culture, and Community Respect

The Agency deeply respects the faith, traditions, languages, observances, and spiritual practices of the Organization and the diaspora communities it serves — including Karen, Bamar, Shan, Chin, Kachin, Mon, Rakhine, Kayah, and other Southeast Asian and faith communities. In arranging travel, the Agency will, wherever possible, accommodate religious observances, worship and prayer schedules, dietary needs, modesty and cultural sensitivities, and sacred calendars. This partnership is never conditioned on any particular belief or practice, and the Agency will always represent the Organization with dignity, humility, and honor.

9. Use of Names and Marks

Each Party may reference the partnership respectfully. Neither Party will use the other’s name, logo, or marks in a way that implies endorsement of unrelated matters without prior written consent. The Agency will not use the Organization’s name or imagery in a manner that could be seen as pressuring members to book, and will honor any request to adjust or remove such use.

10. Member Privacy and Confidentiality

The Agency will treat all member and traveler information — names, contacts, itineraries, and payment details — as private and confidential, will use it only to provide travel services and administer this partnership, and will not sell or share it with unrelated third parties. Each Party will keep the other’s non-public information confidential. This obligation continues after the partnership ends.

11. Relationship of the Parties

Although called a “partnership” in spirit, this Agreement does not create a legal partnership, joint venture, employment, or agency relationship between the Parties. The Agency and the Organization remain separate and independent. Neither Party may bind the other, incur obligations on the other’s behalf, or speak for the other without written consent.

12. Term and Termination

This Agreement begins on the Effective Date and continues on a month-to-month basis. In keeping with the spirit of freedom, either Party may end this Agreement at any time, with or without cause, by simple written notice (including by email). Ending the partnership does not affect donations already earned on completed Qualifying Bookings, which the Agency will still remit. Sections 4(e), 10, and 11 continue after termination.

13. Good Faith, Liability, and Indemnification

The Parties will act in good faith and deal honestly with one another. The Agency arranges travel through third-party suppliers (airlines, hotels, tour operators, and others) whose own terms apply; the Agency is not responsible for the acts, omissions, or failures of those suppliers. To the fullest extent permitted by law, neither Party will be liable to the other for indirect, incidental, consequential, or punitive damages, and the Agency’s total liability under this Agreement will not exceed the donations remitted in the three (3) months preceding a claim. Each Party will indemnify and hold harmless the other, the other’s leaders, members, and the Agency’s suppliers from claims arising out of its own violation of law or of this Agreement.

14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Minnesota. The Parties will first seek to resolve any disagreement through respectful, good-faith conversation. If unresolved within thirty (30) days, the matter will be submitted to mediation in Ramsey County, Minnesota. If mediation does not resolve it, the dispute will be heard exclusively in the state or federal courts located in Ramsey County, Minnesota.

15. Miscellaneous

(a) Entire Agreement. This is the entire understanding between the Parties on this subject. (b) Amendments. Any amendment must be in writing and signed by both Parties (updating authorized representatives under Section 7 does not require an amendment). (c) Severability. If any provision is unenforceable, the rest remain in force. (d) Assignment. Neither Party may assign this Agreement without the other’s written consent. (e) Notices. Notices may be sent by email, with confirmed delivery. (f) Counterparts. This Agreement may be signed in counterparts and by electronic signature, each of which is an original.
